The Company emphasizes responsibility toward society and all stakeholders, demonstrating its zero tolerance for and refusal to engage in or support any form of corruption. In line with this commitment, the Company officially declared its intent to join the Thai Private Sector Collective Action Against Corruption (Thai CAC) in 2022, reaffirming its dedication to operating with true transparency, integrity, and fairness in every aspect of its business.

Instilling the Corporate Culture

The Company is committed to Instilling an anti-corruption culture among employees at all levels by providing training and continuously encouraging staff to perform their duties with honesty, transparency, and responsibility. The Company firmly believes that all forms of fraud and corruption are unacceptable and strives to instill strong moral and ethical values in all personnel.

In addition, the Company ensures that its Anti-Corruption Policy is effectively communicated to all employees. Every employee is required to acknowledge and sign their understanding of the policy, which forms part of the Company’s work regulations. Furthermore, annual refresher training sessions are organized to reinforce awareness and strengthen a transparent and fair corporate culture that supports long-term sustainability.

Guidelines for Disclosure and Communication of the Anti-Corruption Policy

The Company requires the Training Department to include anti-corruption knowledge as part of the onboarding curriculum for all new employees. This ensures that every new staff member is informed about the Anti-Corruption Policy and strictly adheres to it.

The Company organizes anti-corruption training sessions conducted by experts with specialized knowledge to reinforce awareness and instill a sense of integrity among employees at all levels at appropriate intervals.

The Company publishes its Anti-Corruption Policy on the corporate website, allowing the public, customers, business partners, investors, shareholders, and employees to easily access and study the information.

The Company discloses its Anti-Corruption Policy in the Annual Registration Statement (Form 56-1 One Report) available on the Company’s website, ensuring that the public, customers, business partners, investors, shareholders, and employees can conveniently access the information.

The Company displays informational boards on anti-corruption within its premises in visible areas to promote awareness, reinforce ethical values, and encourage employees to refrain from any form of corrupt practices.

The Company circulates announcements regarding updates or revisions to the Anti-Corruption Policy via internal email to ensure all employees are kept informed of any changes.

The Company also communicates the Anti-Corruption Policy and other related policies to its business partners via email, requiring them to acknowledge and sign the policy annually. This practice reaffirms the shared commitment to ethical conduct not only within the organization but also across all of its business partners thereby reducing risks and preventing negative impacts that could arise from irresponsible business practices in both the short and long term.

Whistleblowing and Complaint Management

To support and promote effective governance in alignment with the Company’s Business Code of Conduct and Anti-Corruption Policy, JAS Asset Public Company Limited has established whistleblowing and complaint channels, along with protection measures for whistleblowers. These mechanisms aim to foster a transparent working environment and build confidence among employees and stakeholders both internal and external in reporting concerns safely and conveniently.

The Company has designated specific channels for reporting suspected misconduct, corruption, fraud, or any violations of laws, regulations, corporate governance policies, the Business Code of Conduct, or the Anti-Corruption Policy. Employees and stakeholders may also use these channels to provide recommendations or raise other business-related concerns. All reports submitted through the whistleblowing and complaint system are handled with strict confidentiality and designed to ensure the safety and protection of whistleblowers. An Investigation Committee is directly responsible for overseeing the process and ensuring that all reported matters are properly reviewed and addressed.

Reporting and Whistleblowing

The Company has established a whistleblowing and complaint handling system for both internal and external parties as a channel to report any incidents of potential misconduct — such as bribery, corruption, discrimination, harassment or abuse, privacy violations, unlawful acts, or breaches of Company policies and regulations.

The whistleblowing system is designed to ensure security and confidentiality, providing assurance to whistleblowers that their reports will be protected and handled appropriately. The Company has also implemented protective measures to safeguard whistleblowers from retaliation or any adverse actions resulting from their reports. All reported cases are thoroughly investigated and addressed in a fair and careful manner to maintain a safe, transparent, and trustworthy working environment.
